Thank you for using Geochat (“Service”), a hosted software and AI-enabled platform provided by Geochat LLC (“Provider,” “we,” “us,” or “our”).
By clicking “Subscribe,” “Sign Up,” or otherwise using the Service, you agree to these Terms of Use (“Terms”) and our Privacy Policy.
If you are entering into these Terms on behalf of a company or organization, you represent that you have authority to bind that entity.
If you do not agree, do not use the Service.
1. The Service
We provide access to our hosted software and chatbot features that use large language models (“LLMs”) to generate responses, insights, and recommendations. The Service may include additional features, analytics, or integrations described on our website or in your account.
2. Accounts and Eligibility
To use the Service, you must:
Be at least 18 years old (or the age of majority in your jurisdiction).
Provide accurate, complete account information.
Maintain the confidentiality of your login credentials.
You are responsible for all activity under your account.
3. Subscriptions, Fees, and Renewals
Subscription Plans: Access to the Service is offered through paid subscriptions, as described on our website.
Automatic Renewal: Subscriptions renew automatically at the end of each term (monthly or annual) unless you cancel before renewal.
Cancellation: You may cancel at any time in your account settings. Cancellation takes effect at the end of your current billing period.Refunds: All payments are non-refundable except as required by law.
Changes in Fees: We may update pricing with at least 30 days’ notice before the next renewal term.
Taxes: Fees are exclusive of taxes, which will be added as applicable.
4. Acceptable Use
You agree not to use the Service to:
Violate any law or regulation.
Upload, transmit, or generate content that is harmful, abusive, or discriminatory.
Reverse engineer, decompile, or extract source code from the Service.
Attempt to disrupt or gain unauthorized access to the Service or other users’ accounts.
Use the Service or any generated content to train, fine-tune, or create a competing AI model or service.
Misrepresent output from the Service as human-authored when doing so could cause harm or deception.
We may suspend or terminate your account if you violate this section.
5. Intellectual Property and License
5.1 Provider IP
All rights, title, and interest in the Service (including software, models, and algorithms) belong to Provider and its licensors. No rights are granted except as expressly stated in these Terms.
5.2 License to Use the Service
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms and applicable law.
5.3 AI-Generated Content (“Outputs”)
Subject to your compliance with these Terms, you may use AI-generated outputs (“Outputs”) for your lawful business or personal purposes. Provider retains all rights in and to the Service and underlying models used to generate Outputs. You are solely responsible for reviewing and verifying the accuracy of any Output.
6. Data Use and Privacy
6.1 Data Ownership
You retain ownership of all data you upload or input into the Service (“Client Data”).
6.2 License to Provider
You grant Provider a limited, non-exclusive, royalty-free license to process, aggregate, and de-identify Client Data for the following purposes:
Operating, maintaining, and improving the Service.
Developing and enhancing Provider’s algorithms, analytics, and models.
Creating new features, insights, or products.
We do not sell personal data and we anonymize any data used for product improvement.
6.3 Opt-Out
You may opt out of product-improvement data use by emailing contact@geochat.ai, though certain features may then be limited.
6.4 Privacy Policy
Our Privacy Policy explains how we collect, use, and protect your data. By using the Service, you consent to those data practices.
7. Data Security
We maintain commercially reasonable safeguards to protect Client Data against unauthorized access or loss. In the event of a data breach affecting your personal data, we will notify you as required by applicable law.
8. AI and Output Disclaimers
The Service uses machine learning models that may produce inaccurate, incomplete, or biased information.We do not guarantee the accuracy, reliability, or legality of any AI-generated content. You are solely responsible for verifying all Outputs before relying on them.
The Service is not intended for medical, legal, or financial advice.
9. Warranties and Disclaimers
The Service is provided “as is” and “as available.”
To the maximum extent permitted by law, Provider disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
To the fullest extent permitted by law:
Provider’s total liability for all claims shall not exceed the amount paid by you to Provider in the 12 months preceding the claim.
Provider shall not be liable for any indirect, incidental, consequential, or punitive damages, or for lost profits or data.
11. Indemnification
You agree to defend, indemnify, and hold harmless Provider and its affiliates from any claims, damages, or expenses arising out of your use of the Service, your content, or your violation of these Terms.
12. Termination
We may suspend or terminate your access if you violate these Terms or use the Service in a way that creates risk or harm to others. Upon termination, you may request to export your data within 30 days.
13. Modifications to the Terms
We may modify these Terms at any time by posting an updated version on our website.
If changes are material, we will provide notice by email or through the Service.
Continued use after changes become effective constitutes acceptance of the updated Terms.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Massachusetts, excluding its conflicts of law principles.
Any disputes arising from or related to these Terms will be resolved by binding arbitration administered by the American Arbitration Association (AAA) in Northampton, Massachusetts. You waive the right to participate in class or collective actions.
15. Miscellaneous
These Terms and any related policies constitute the entire agreement between you and Provider.
If any provision is found unenforceable, the remainder will continue in effect.
Provider’s failure to enforce any right is not a waiver of that right.
You may not assign these Terms without our consent; we may assign them as part of a merger or sale.
